DBinsight.ai Terms and Conditions

1.1. Services: The products, tools, APIs, and software provided by DBinsight.ai.

1.2. Account Information: Information provided during registration, including names, usernames, email addresses, and payment details.

1.3. Beta Release: Any pre-release or test version of the Services provided “as-is” for evaluation purposes.

1.4. Third-Party Services: External services, APIs, or software integrated with DBinsight.ai that operate under their own terms.

1.5. Aggregated Statistics: Anonymized data collected from user activity to improve Services or generate insights.

1.6. High-Risk Activities: Activities where failure of the Services could result in significant harm, such as life support systems or safety-critical infrastructure.

1.7. Content: Any data, information, or material created, uploaded, shared, or stored by the user through the Services, including AI applications developed using DBinsight.ai.

1.8. Customer Data: Information, data, and other content submitted, posted, or transmitted by or on behalf of the user through the Services.

2.1. Registration

To use DBinsight.ai, you must register for an account by providing accurate and up-to-date personal information, including but not limited to your name, email address, and phone number.

2.1.1. Accuracy of Information: You are responsible for ensuring that the information you provide is accurate and current. Failure to do so may result in suspension or termination of your account.

2.1.2. Prohibited Content: Your account name, avatar, profile, and other registration details must not contain illegal or harmful content. If we discover such content, we reserve the right to reject your registration or take corrective action, including suspension or termination of your account.

2.2. Account Use

Your account is for personal use only and may not be shared, rented, sold, or transferred without prior written consent from us. You are responsible for all activities carried out under your account. Misuse of your account may lead to suspension or termination.

2.3. Account Custody and Retrieval

You are responsible for safeguarding your account credentials (username and password). Losses arising from unauthorized access due to your negligence are your responsibility. If you lose access to your account, you can request account recovery by providing valid legal documentation.

2.4. Account Transfer

You may not transfer, donate, lend, rent, or sell your DBinsight.ai account to any third party. Unauthorized transfer of accounts will result in immediate suspension or termination, and we reserve the right to pursue legal action.

2.5. Account Inactivity

If you do not access your DBinsight.ai account for 24 consecutive months, we reserve the right to cancel your account. For accounts with pending transactions or balances, we will assist you within a reasonable timeframe.

2.6. Account Security

2.6.1. DBinsight.ai employs industry-standard security measures, including encryption, access controls, and periodic audits, to protect user data and prevent unauthorized access. However, users are responsible for safeguarding their account credentials and other sensitive information. Users must:

• Use strong passwords and update them regularly.
• Install anti-virus software.
• Avoid sharing account details with others.

2.7. Account Cancellation

You may request the cancellation of your account at any time. Upon cancellation:

2.7.1. You will remain responsible for any actions or obligations incurred prior to the cancellation.

2.7.2. Your user-generated content will be deleted from our active databases.

2.8. User Eligibility & Regional Restrictions

By accessing the Services, you represent and warrant that you are (i) at least 18 years of age, and (ii) not a resident of, nor an entity incorporated in, the United States or Canada. The Services are not intended for use in these jurisdictions. You acknowledge that dbinsight.ai is not insured to operate in the United States or Canada, and you agree to indemnify and hold dbinsight.ai harmless from any claims or losses arising from your unauthorized use of the Services within these excluded territories.

3.1. Provision of Services

3.1.1. DBinsight.ai will make the Services available to you in accordance with these Terms.

3.1.2. You may use your DBinsight.ai Account and the Services only (i) for lawful purposes and (ii) in accordance with these Terms and accompanying Documentation.

3.2. Use of Services

You are granted a non-exclusive, non-transferable right to use DBinsight.ai’s Services, provided you comply with this Agreement and any applicable third-party AI service provider agreements.

3.3. Prohibited Actions

You agree not to:

• 3.3.1. Infringe Intellectual Property Rights: Use the Services in a way that infringes on the intellectual property rights of DBinsight.ai or any third party.
• 3.3.2. Reverse Engineering: Attempt to reverse-engineer, decompile, disassemble, or otherwise discover the underlying algorithms or source code of the Services.
• 3.3.3. Use the Services to develop competing products.
• 3.3.4. Upload or transmit any sensitive personal data.
• 3.3.5. Act in any way that violates applicable laws or infringes on the rights of third parties.
• 3.3.6. Use the Services to engage in unlawful or harmful activities.
• 3.3.7. Transfer, rent, or sell your account.
• 3.3.8. Unauthorized Use: Use the Services without authorization, including accessing or attempting to access accounts or data that do not belong to you.
• 3.3.9. Illegal Activities: Engage in any illegal, harmful, or fraudulent activities using the Services.
• 3.3.10. Automated Access: Use automated scripts, bots, or scraping tools to extract data from the platform without explicit written permission.
• 3.3.11. Generate Harmful Content: Use the platform to create or disseminate malicious, discriminatory, or offensive content.
• 3.3.12. Manipulation or Exploitation: Attempt to manipulate the Services or exploit vulnerabilities for personal or financial gain.
• 3.3.13. Prompt Injection & Jailbreaking: Attempt to bypass, disable, or manipulate the AI's safety filters, system prompts, or ethical guardrails (for example, prompt injection attacks).
• 3.3.14. Data Scraping: Use the Services to scrape or harvest data to train your own machine learning or AI models.

Violations of these terms may result in immediate suspension or termination of your account, and we reserve the right to pursue legal action.

3.4. Compliance With Local Laws

Users are responsible for ensuring that their use of DBinsight.ai complies with all applicable local, national, and international laws, including but not limited to laws governing AI usage, data protection, and intellectual property. DBinsight.ai assumes no liability for violations of such laws.

3.5. Beta Releases

Any Beta Release is provided “as-is” without warranties and for testing purposes only. DBinsight.ai may discontinue Beta Releases at any time.

3.6. Feedback

We value your feedback and suggestions for improving DBinsight.ai. However, providing feedback does not grant you any ownership or intellectual property rights over the platform, its features, or any resulting improvements.

3.7. Third-Party Services

The Services may include integrations with Third-Party Services. Your use of these services is governed by their respective terms, and DBinsight.ai is not responsible for Third-Party Services.

3.8. Service Modifications

DBinsight.ai may modify the Services, including adding or removing features. Material changes will be communicated with reasonable notice.

4.1. User Content

You retain ownership of the content you input into DBinsight.ai and the output generated by the Services. However, you are responsible for ensuring the legality, accuracy, and compliance of your content with applicable laws.

4.2. AI-Generated Content

Due to the nature of machine learning, output content may not always be unique or accurate. Users must clearly label AI-generated content to avoid misunderstandings and perform manual reviews for critical use cases.

4.3. Accuracy

AI-generated content may contain inaccuracies or errors. Users must evaluate and review output for critical use cases, especially when it involves professional, legal, or financial decisions. DBinsight.ai assumes no responsibility for damages caused by reliance on inaccurate content.

4.4. Data Uploads

Uploaded files and data are used solely for processing queries. We do not interfere with the content of uploaded files.

5.1. Subscription Fee

5.1.1. Subscription plans are available with monthly or annual options.

5.1.2. For each subscription plan, the number of allowed groups, users per group, database connections, and DB tables may vary.

5.1.3. You may upgrade or downgrade your subscription plan, but any paid subscription fees are non-refundable.

5.1.4. Subscription is tied to specific email accounts and cannot be transferred.

5.1.5. Auto-Renewals: Subscriptions automatically renew unless canceled before the renewal date.

5.2. Virtual Currency (DBInsight Tokens)

5.2.1. DBinsight.ai uses virtual points (DBinsight tokens) for services like knowledge vectorization and LLM processing.

5.2.2. DBinsight tokens have no real-world cash value and cannot be exchanged for fiat currency. Purchasing tokens grants you a limited, revocable, non-transferable license to access specific features on the platform. DBinsight.ai reserves the right to modify the token cost of features at any time without prior notice.

5.2.3. DBinsight.ai tokens are essential for accessing and using various services on the platform.

5.2.4. Tokens can be allocated to groups.

5.2.5. Tokens are tied to email accounts and are non-refundable.

5.2.6. Certain plans include free tokens each billing cycle. Users can also purchase additional tokens using the top-up feature. All unused tokens, including purchased tokens, will expire at the end of the billing cycle, requiring a top-up for continued usage.

5.3. Billing Errors

In the event of billing errors, DBinsight.ai will review the issue and, if applicable, provide a refund or account credit within a reasonable timeframe.

5.4. Pricing Changes

We reserve the right to adjust pricing with prior notice. Continued use of the Services after a pricing change indicates acceptance.

5.5. Late Payments

Failure to pay subscription fees on time may result in the suspension of your account and Services. To unlock and resume access, users must pay back the missing payment months in full. Continued failure to make payments may result in permanent account termination.

5.6. Free Services

You may not create multiple accounts to exploit free service offerings. Violations may result in termination of access or additional charges.

5.7. Taxes

You are responsible for all applicable taxes, except for taxes based on DBinsight.ai’s income.

6.1. Customer Data and AI Processing

You retain full ownership of all the data, text, or documents you upload to the Platform ("Customer Data") and the content the AI generates for you ("Output"). The Company guarantees that we will never use your Customer Data or Outputs to train, fine-tune, or improve our own internal AI models.

6.2. Third-Party AI Providers

To power our features, the Platform connects to external Large Language Models (for example, OpenAI and Anthropic). When you submit a query, your data is sent to these third-party providers to generate the Output. The privacy, retention, and potential use of this data, including whether they use it to train their own models, are governed strictly by the terms and privacy policies of those specific third-party providers. DBinsight.ai disclaims all liability regarding how third-party providers handle your data.

6.3. Data Protection

You are responsible for complying with applicable data protection laws when using the Services. DBinsight.ai adheres to applicable data protection laws and regulations. Users are prohibited from uploading sensitive personal information (for example, health, biometric, or financial data) unless explicitly permitted and agreed upon in writing.

7.1. Ownership

Users retain ownership of any content or data they input into the Services and all outputs generated through the Services, provided such outputs do not infringe on third-party intellectual property rights. However, DBinsight.ai retains all intellectual property rights over its Services, algorithms, and improvements derived from user feedback or usage patterns.

7.2. Feedback

If a user provides feedback, suggestions, or ideas for improving the Services, DBinsight.ai reserves the right to use such feedback to enhance its features or functionality without any obligation to compensate the user.

8.1. Disclaimer

The Services are provided “as-is” and “as available”, without any representations or warranties, express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or any warranty arising out of course of dealing, usage, or trade.

8.2. Professional Disclaimer & No Professional Advice

The Service and any Output generated by the AI are provided solely for informational and business analytics purposes. You acknowledge and agree that DBinsight.ai does not provide financial, investment, legal, tax, medical, accounting, or any other professional advice. The AI-generated outputs may sound confident but may be entirely incorrect (“hallucinations”) and are not a substitute for professional guidance or recommendations. Such outputs do not constitute a recommendation, valuation, or endorsement of any financial instrument, security, investment strategy, or decision-making. You are solely responsible for verifying the accuracy of any data and interpreting the Output before making decisions. Any reliance on the Service for professional purposes is strictly at your own risk. DBinsight.ai disclaims any liability for decisions made or actions taken based on its Output.

8.3. No Guarantee of Accuracy or Availability

DBinsight.ai does not warrant that the Services will be error-free, uninterrupted, secure, or free from bugs, viruses, or other harmful components. Any reliance on the output, suggestions, or content generated by the Services is at your own risk. DBinsight.ai does not provide any Service Level Agreement (SLA) or uptime guarantees for standard subscriptions. Refunds will not be issued for temporary service outages.

8.4. Third-Party Services and Data

DBinsight.ai integrates with and relies on Third-Party Services, including hosting providers, APIs, payment processors, LLMs, or plugins, to deliver its offerings. Users are responsible for reviewing and complying with the terms of service of these third-party providers. DBinsight.ai disclaims any responsibility for failures, delays, interruptions, or changes in the functionality of the Services caused by Third-Party Services. Additionally, DBinsight.ai does not warrant or assume responsibility for the actions, errors, omissions, or failures of any third parties. If legal issues, data breaches, or other damages arise due to the negligence or actions of these third parties, DBinsight.ai will not be held liable for such incidents. In the event of a critical disruption caused by Third-Party Services that materially affects the functionality of DBinsight.ai, we will notify affected users via email or in-platform announcements within a reasonable timeframe. However, DBinsight.ai does not guarantee the resolution of such disruptions within a specific period and disclaims liability for any resulting delays or interruptions.

8.5. User Responsibility for Data

You are responsible for ensuring compliance with applicable laws and reviewing the accuracy, legality, and suitability of any data or content uploaded or processed through the Services.

8.6. Limitation of Liability

To the maximum extent permitted by law, DBinsight.ai’s liability to you is strictly limited as follows.

8.7. Exclusion of Indirect Damages

DBinsight.ai will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages, including but not limited to loss of revenue, profits, business interruption, or data, arising out of or in connection with the use or inability to use the Services, even if DBinsight.ai has been advised of the possibility of such damages.

8.8. Cap on Liability

DBinsight.ai’s total cumulative liability for all claims arising out of or related to these Terms or the Services will not exceed the greater of (a) the total fees paid by you for the Services in the three (3) months immediately preceding the event giving rise to the claim or (b) USD $100.

8.9. No Liability for Third-Party Issues

DBinsight.ai is not responsible for any damages, claims, or legal issues arising from:

8.9.1. Security breaches, data leakage, or unauthorized access caused by Third-Party Services.

8.9.2. Errors, omissions, or delays in Third-Party Services relied upon by DBinsight.ai.

8.9.3. Your use of Third-Party Services integrated with DBinsight.ai, including any terms or policies governing such services.

8.10. Force Majeure

DBinsight.ai will not be liable for any failure or delay in performance caused by circumstances beyond its reasonable control, including but not limited to natural disasters, labor disputes, acts of war, cyberattacks, or government restrictions.

8.11. User Indemnification

You agree to indemnify, defend, and hold harmless DBinsight.ai, its officers, employees, and affiliates from any claims, losses, damages, liabilities, or expenses (including reasonable attorney’s fees) arising out of or related to:

8.11.1. Your use of the Services in violation of applicable laws or these Terms.

8.11.2. Your breach of any third-party rights, including intellectual property or data privacy rights.

8.11.3. Your content or data uploaded, processed, or distributed through the Services.

8.12. Applicability and Survival

The disclaimers, exclusions, and limitations of liability in this Section 6 will:

8.12.1. Apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise.

8.12.2. Survive the termination or expiration of these Terms and continue to apply to any claims arising thereafter.

9.1. DBinsight.ai will not be liable for delays or failures caused by circumstances beyond its reasonable control, including but not limited to natural disasters, government actions, labor disputes, cyberattacks (for example, Distributed Denial-of-Service attacks and ransomware), third-party service disruptions (for example, cloud provider outages), or global supply chain interruptions. The affected party must notify the other party promptly and make reasonable efforts to mitigate the impact of the force majeure event.

10.1 Applicable Laws & Territorial Restrictions

This Agreement is governed by the laws of Hong Kong SAR. The Services are primarily intended for users located outside of the United States and Canada. dbinsight.ai makes no representation that the Services are appropriate, legal, or available for use in the United States or Canada. Accessing the Services from these excluded jurisdictions is strictly at your own risk.

10.2 Informal Dispute Resolution (Prerequisite to Litigation)

Users must attempt to resolve disputes informally by contacting info@DBinsight.ai before pursuing formal legal action. Before initiating any formal legal proceedings, users must first attempt to resolve disputes through arbitration or mediation in Hong Kong as a prerequisite to litigation.

10.3. No Class Actions

To the maximum extent permitted by law, all disputes must be resolved individually. Class actions, class-wide arbitrations, or any other type of representative legal proceedings are strictly prohibited.

10.4. Exclusive Jurisdiction

Subject to the mediation requirement in Section 10.2, all legal disputes shall be referred to and finally resolved by the courts of Hong Kong SAR. You hereby waive any objection to such jurisdiction on the grounds of venue or forum non conveniens.

10.5. Severability

If any part of this Dispute Resolution section is found unenforceable by a court of competent jurisdiction, the remaining parts shall remain valid and enforceable.

11.1. Relationship

This Agreement does not create a partnership, joint venture, or agency relationship between you and DBinsight.ai.

11.2. Brand Use

You may not use DBinsight.ai’s name, logo, or trademarks without prior written consent.

11.3. Assignment

You may not transfer this Agreement. DBinsight.ai may transfer it during mergers or acquisitions.

11.4. Modifications

DBinsight.ai may update these Terms from time to time. DBinsight.ai will notify users of any material changes to these Terms via email or in-platform notifications before the changes take effect. Users who do not agree with the updated terms must stop using the Services before the changes take effect. Continued use of the Services after the notification period constitutes acceptance of the updated Terms.

Notices

Notices will be sent via email or in-platform messages.

11.5. Waiver and Severability

Failure to enforce rights does not waive them. Invalid provisions do not affect the rest of the Agreement.

11.6. Export Controls

You may not use the Services in embargoed countries or violate applicable export laws.

11.7. Entire Agreement

This Agreement supersedes any prior agreements regarding the use of DBinsight.ai.

12.1. Termination by User

You may terminate this Agreement at any time by ceasing all use of the Services and content. However, any paid subscription fees or purchased tokens are non-refundable. Refunds will not be provided for early cancellations or unused portions of subscriptions, except in cases of billing errors. Termination of your account does not exempt you from obligations incurred prior to termination, such as outstanding payments.

12.2. Termination by DBinsight.ai

We may terminate this Agreement and suspend or terminate your access to the Services under the following circumstances:

12.2.1. If you materially breach any of the following sections:

• Section 2 (Registration and access)
• Section 3 (Services and support)
• Section 4 (Content)
• Section 5 (Fees and Payment)
• Section 6 (Privacy and data use)
• Section 7 (Intellectual Property)
• Section 10 (Dispute Resolution)
• Section 11 (Miscellaneous)

12.2.2. Third-Party Service Disruption: If a third-party AI service provider terminates its services, resulting in DBinsight.ai being unable to continue providing the Services.

12.2.3. Legal or Regulatory Compliance: If termination is necessary to comply with applicable laws, regulations, or governmental requirements.

12.2.4. Violation of Laws or Ethical Standards: If we discover that you have engaged in activities including but not limited to:

• Violating applicable laws or regulations.
• Engaging in unethical business practices or violating social morality, such as online manipulation or malicious posting and commenting.
• Generating spam emails or creating malicious software.
• Conducting unfair business marketing or exploiting the platform for fraudulent purposes.
• Generating misleading content using the Services, exploiting the platform for fraudulent activities, or knowingly violating third-party intellectual property rights.

12.2.5. In such cases, we may suspend or terminate your account and Services immediately after providing notice.

12.3. Advance Notice

For reasons other than those listed in 12.2, we may terminate this Agreement at our discretion by providing you with advance notice.

13.1. Cessation of Use

Upon termination, you must immediately:

• Stop using the Services.
• Return or, at our direction, destroy any Confidential Information obtained during your use of the Services.

13.2. Survival of Terms

The following sections of this Agreement will survive termination or expiration of the Agreement:

• Section 4 (Content)
• Section 6 (Privacy and data use)
• Section 7 (Intellectual Property)
• Section 8 (Disclaimer and limitation of liability)
• Section 10 (Dispute Resolution)
• Section 11 (Miscellaneous)

13.3. Termination of this Agreement does not release you from any liabilities or obligations incurred prior to termination or expiration.
